1. Acceptance of Terms

By accessing or using the Arvyx platform and website at arvyx.tech (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Arvyx provides an AI-powered software development lifecycle automation platform, including tools for requirements analysis, architecture design assistance, development workflow automation, testing support, and deployment orchestration (collectively, the "Service"). The Service is currently in an early-access phase and features may change without notice.

3. Eligibility

You must be at least 18 years of age and have the authority to enter into binding contracts on behalf of yourself or your organization to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts and Responsibilities

When you create an account or request access, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your credentials and notify us immediately of any unauthorized access
• Take responsibility for all activity occurring under your account
• Not share your account credentials with any third party

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit malicious code, viruses, or any software intended to damage or interfere with systems
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse engineer, decompile, or disassemble any component of the Service
• Use the Service to develop competing products or services

6. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, algorithms, workflows, text, graphics, and logos — are the exclusive property of Arvyx Ltd. and are protected by Israeli and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during the term of your agreement with Arvyx.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information solely for purposes of the agreement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ARVYX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARVYX LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ARVYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above or by contacting registered users. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

Arvyx Ltd. ("Arvyx", "we", "us", or "our") is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and safeguard information when you use our platform and website at arvyx.tech. Please read this policy carefully. By using the Service, you consent to the practices described herein.

2. Information We Collect

We may collect the following categories of information:

• Identity & Contact Data: Name, email address, job title, and company name provided when you register or contact us
• Usage Data: Information about how you interact with the Service, including features accessed, actions taken, and session duration
• Technical Data: IP address, browser type and version, operating system, and other diagnostic data
• Content Data: Code, configurations, or other content you upload or process through the Service

5. Data Sharing and Disclosure

We do not sell your personal data. We may share your information with:

• Google Cloud Platform: Arvyx's infrastructure is hosted on Google Cloud Platform ("GCP"). Data processed through the Service — including code, configurations, and usage data — may reside on GCP infrastructure. Google acts as a data processor on our behalf and is bound by Google's Data Processing Addendum and applicable data protection laws. Google Cloud's privacy practices are described at cloud.google.com/privacy.
• Other Service Providers: Trusted third parties who assist in operating our infrastructure, analytics, and communications, bound by confidentiality agreements
• Legal Requirements: When disclosure is required by law, regulation, or valid legal process
• Business Transfers: In connection with a merger, acquisition, or sale of assets, subject to standard confidentiality protections

6. Google Vertex AI and AI Processing

Arvyx uses Google Vertex AI, a managed machine learning platform on Google Cloud, to power core platform features including semantic codebase analysis, agentic workflow execution, and automated code generation. The following applies to data processed through Vertex AI:

• Data submitted to Vertex AI: Code, prompts, and related content you submit through the Service may be processed by Vertex AI models hosted on Google Cloud infrastructure. This data is transmitted securely over encrypted connections.
• No training on your data: Google does not use data submitted to Vertex AI APIs to train or improve its foundation models without your explicit permission. Your code and content remain yours and are not used to improve Google's AI models by default.
• Data residency: Vertex AI processing occurs within the GCP regions designated in our service configuration. We take reasonable steps to ensure data does not leave agreed-upon geographic boundaries.
• Retention by Google: Data sent to Vertex AI APIs may be retained by Google for a limited period for safety filtering, abuse monitoring, and service reliability purposes, as described in Google's Cloud Data Processing Addendum. This retention is separate from Arvyx's own retention practices.
• Confidentiality of code: You should avoid submitting code or data that contains personal data, secrets, credentials, or highly sensitive intellectual property beyond what is necessary for the feature in use. Arvyx is not responsible for data you voluntarily include in AI prompts.

7. Data Retention

We retain personal data for as long as necessary to fulfill the purposes described in this Policy, or as required by applicable law. Account data is retained for the duration of your relationship with Arvyx and for a reasonable period thereafter for legal and business purposes. You may request deletion of your data at any time (see Section 9).

8. Data Security

We implement appropriate technical and organizational security measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction. These include encryption in transit and at rest, access controls, and regular security reviews. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

9. Your Rights

Depending on your jurisdiction, you may have the right to:

• Access the personal data we hold about you
• Correct inaccurate or incomplete data
• Request deletion of your personal data ("right to be forgotten")
• Object to or restrict certain processing activities
• Data portability — receive your data in a structured, machine-readable format
• Lodge a complaint with a supervisory data protection authority

10. Cookies and Tracking

Arvyx Ltd. is incorporated in Israel, which the European Commission has recognized as providing an adequate level of data protection. If we transfer data to other jurisdictions — including to Google Cloud infrastructure outside Israel — we ensure appropriate safeguards are in place, such as standard contractual clauses approved by relevant authorities.

We may update this Privacy Policy periodically. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by direct notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Policy.
